Welcome to ReadySetConnect. These Terms of Use (“Agreement”) govern your access to and use of the ReadySetConnect platform, services, software, and related features (collectively, the “Service”).

By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you are using the Service on behalf of an organization, you represent and warrant that you are authorized to bind that organization to this Agreement.

If you do not agree to these terms, you must not access or use the Service.

ReadySetConnect is a practice management SaaS platform that may involve the processing of Protected Health Information (“PHI”) subject to HIPAA. Your use of the Service is conditioned on your compliance with the Business Associate Agreement (“BAA”) available at https://www.ReadySetConnect.com/baa/, which is incorporated into this Agreement by reference. In the event of any conflict between this Agreement and the BAA with respect to PHI, the BAA shall control.

ReadySetConnect reserves the right to modify, suspend, or discontinue any part of the Service, or these terms, at any time. We will notify you of material changes by posting the updated Agreement or through other reasonable means. Your continued use after changes constitutes acceptance of the new terms. If you do not agree to modified terms, you must stop using the Service.

1. Definitions

• “Applicable Laws” includes all national, federal, state, and local laws, rules, and regulations, including those relating to data privacy, security, and healthcare (e.g., HIPAA).
• “Content” or “User Data” means all data, files, text, notes, progress notes, PHI, and other materials uploaded, generated, or processed through the Service.
• “PHI” has the meaning set forth in the HIPAA Rules.
• “Subscription” means your paid or free subscription to the Service at the selected tier.
• “You” or “Subscriber” means the individual or organization accessing or using the Service.
• Other capitalized terms have the meanings given in the BAA or as defined below.

2. Account and Subscription

You must maintain an active Subscription to use the Service. You are responsible for all activity under your account and for maintaining the confidentiality of your login credentials.

Free and Promotional Subscriptions may be modified or discontinued at any time with or without notice. Paid Subscription fees are non-refundable except as required by law. Subscriptions automatically renew as described during checkout. You authorize us to charge your payment method for renewal fees and applicable taxes.

3. License and Permitted Use

Subject to your compliance with this Agreement and payment of fees, we grant you a limited, non-exclusive, non-transferable, revocable license during your Subscription term to access and use the Service for your internal business purposes in accordance with the Documentation.

You shall not (and shall not permit others to):

• Reverse engineer, decompile, or attempt to derive the source code of the Service;
• Use the Service for competitive analysis or to develop a competing product;
• Circumvent any security or access controls;
• Use the Service in violation of Applicable Laws or to transmit harmful code.

4. User Data and Licenses

4.1 Ownership. You retain ownership of your User Data, subject to the licenses granted below. You are solely responsible for the accuracy, legality, and compliance of your User Data, including obtaining all required consents for PHI.

4.2 License to ReadySetConnect. By submitting User Data, you grant ReadySetConnect a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, store, process, and display such User Data solely as necessary to provide, maintain, and improve the Service, and as otherwise permitted by the BAA and Applicable Laws. For de-identified or aggregated data that cannot reasonably identify any individual, we may use it for analytics, product development, and marketing.

4.3 Restrictions on User Data. You represent and warrant that you have all necessary rights and consents to submit User Data and grant the above licenses. You shall not upload User Data that is unlawful, infringing, defamatory, or violates third-party rights.

4.4 PHI Responsibilities. You are responsible for compliance with HIPAA and other laws regarding your use, access, and disclosure of PHI. ReadySetConnect will handle PHI only as your Business Associate per the BAA. You must ensure proper configuration and use of Service features for compliance.

4.5 Data Export and Termination. Upon termination, you may export your User Data using available features for a reasonable period. You are responsible for secure preservation and retention of records as required by law.

5. Confidentiality and Security

Each party will protect the other’s Confidential Information. We implement reasonable security measures to protect your data, including SSL encryption for transmissions. However, no system is impenetrable, and we are not liable for breaches not caused by our gross negligence or willful misconduct (subject to the BAA for PHI).

6. Third-Party Services and Vendors

The Service may integrate with or use third-party services. We are not responsible for third-party offerings. We may use subprocessors consistent with the BAA for PHI.

7. Privacy

Our [Privacy Policy] and [Client Portal Privacy Policy] are incorporated by reference. We do not sell Personal Information or PHI. Data may be processed in the United States.

8. Intellectual Property

The Service, Software, Documentation, and all related Intellectual Property Rights are owned by ReadySetConnect or its licensors. You receive no ownership rights except the limited license above. You grant us a license to use your feedback for improving the Service.

9. Termination

We may suspend or terminate your access immediately for breach, non-payment, or if continued use would violate law or create material risk. Upon termination, your licenses end, and you must cease use. Sections on User Data licenses (to the extent they survive), confidentiality, IP, indemnification, liability limitations, and governing law survive termination.

10. Indemnification

You agree to indemnify, defend, and hold harmless ReadySetConnect, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from: (i) your breach of this Agreement or the BAA; (ii) your User Data; (iii) your violation of Applicable Laws; or (iv) your use of the Service.

11. Limitation of Liability

To the maximum extent permitted by law, ReadySetConnect shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, profits, or goodwill. Our total aggregate liability shall not exceed the total fees you paid to us in the twelve (12) months preceding the claim. These limitations do not apply to your indemnification obligations or where prohibited by law. For PHI, the BAA may provide additional specifics.

12. Disclaimers

The Service is provided “AS IS” and “AS AVAILABLE.” We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted or error-free operation, nor do we provide medical, legal, or compliance advice.

13. Modifications

We may modify this Agreement. Continued use after notice constitutes acceptance.

14. Governing Law and Dispute Resolution

This Agreement is governed by the laws of the State of Nevada, without regard to conflict of laws principles. Any disputes shall be resolved exclusively in the state or federal courts located in Orange County, California.

Optional Addition (Recommended): You and ReadySetConnect agree to resolve disputes first through good-faith negotiation, then binding arbitration under [AAA rules] in Orange County, CA, except for claims seeking injunctive relief.

15. Miscellaneous

• Severability: Invalid provisions shall be severed; the rest remains in effect.
• No Waiver: Failure to enforce a right does not waive it.
• Assignment: You may not assign without our consent. We may assign freely.
• Force Majeure: We are not liable for delays due to events beyond our reasonable control.
• Entire Agreement: This Agreement, the BAA, Privacy Policy, and any order forms constitute the entire agreement.
• Notices: Sent to your registered email or posted in the Service.
